1. Acceptance of Terms

By accessing or using WallAI's website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

WallAI provides artificial intelligence and machine learning consulting services, including but not limited to:

  • AI/ML strategy and consulting
  • Custom AI/ML solution development
  • Data strategy and analytics
  • Business intelligence implementation
  • Training and workshops

3. User Obligations

You agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of any account credentials
  • Use our services only for lawful purposes
  • Not interfere with or disrupt our services
  • Not attempt to gain unauthorized access to our systems

4. Intellectual Property

4.1 WallAI Property

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, and software, are owned by WallAI and protected by copyright, trademark, and other intellectual property laws.

4.2 Client Data and Deliverables

Unless otherwise specified in a separate agreement:

  • Clients retain ownership of their data and business information
  • Upon full payment, clients receive ownership of custom deliverables created specifically for them
  • WallAI retains rights to general methodologies, frameworks, and tools used in service delivery

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our engagement. Specific confidentiality terms will be outlined in individual service agreements.

6. Payment Terms

Payment terms vary by engagement type and will be specified in individual service agreements or statements of work. Generally:

  • Project-based engagements may require deposits and milestone payments
  • Retainer agreements are typically billed monthly in advance
  • Consulting and workshop fees are due upon completion unless otherwise agreed
  • Late payments may incur interest and/or result in service suspension

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed with reasonable skill and care in accordance with industry standards.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT GUARANTEE SPECIFIC BUSINESS OUTCOMES OR ROI.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WALLAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO OUR SERVICES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Termination

Either party may terminate an engagement according to the terms specified in the applicable service agreement. Upon termination:

  • Client remains responsible for payment for services rendered
  • WallAI will return or destroy client confidential information as requested
  • Obligations regarding confidentiality and intellectual property survive termination

10. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Texas, United States, without regard to conflict of law provisions. Any disputes shall be resolved through good faith negotiation, followed by binding arbitration if necessary.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the modified Terms.

12. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13. Entire Agreement

These Terms, together with any applicable service agreements or statements of work, constitute the entire agreement between you and WallAI regarding our services.
